TERMS OF SERVICE

Acceptance of Terms:

PageProposer.com (PageProposer) provides its service to you, subject to the following Terms of Service, which may be updated from time to time without notice. You are encouraged to check back frequently, as our Terms of Service may change.

Description of Service

PageProposer currently provides users with access to a collection of resources, including, a directory of the internet’s websites (the "Service"). You understand and agree that the Service may include advertisements, sponsored links, promotional listings, or paid placement. You also understand and agree that the Service may include certain communications from PageProposer, such as service announcements, administrative messages and the PageProposer newsletter, and that these communications are considered part of the Service. Unless explicitly stated otherwise, any new features enhancing the current Service, including the release of new PageProposer features and services, shall be subject to the Terms of Service. Please be aware that PageProposer has created certain areas on the Service that contain adult or mature content. You must be at least 18 years of age to access and view such areas.

Registration

If you choose to register a password protected user profile with PageProposer - which is required only if you want to submit your site for review, nominate your site, or take advantage of such other services as may be offered only to users with a profile - you agree to: (a) provide true, accurate, current and complete information about yourself and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or PageProposer has reasonable grounds to suspect that such information is untrue, PageProposer has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

Password and Security

You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify PageProposer of any unauthorized use of your password or account or any other breach of security. PageProposer is not liable for any loss or damage arising from your failure to follow these instructions.

Privacy Policy

We have created this statement to communicate our commitment to privacy and to ensure that you are comfortable with the measures taken to enhance your experience with us. We are dedicated to providing a safe, secure and enjoyable environment in which to search a directory of the best sites online. This statement details our current information gathering procedures, which are subject to change without notice. In order to confirm your understanding of our Privacy Policy, it is suggested that you review this Privacy Policy from time to time. This Privacy Policy covers the following practices:

Information Collection and Us

PageProposer is the sole owner of the information collected on PageProposer.com We collect information from our users at several different points on our Web site.

Registration

In order to submit a site for PageProposer, a user must first complete the registration form. During registration a user is required to give contact information including name and email address. We use this information to contact the user about services on our site for which he has expressed interest.

Opt-In

All members of the PageProposer Newsletter have given PageProposer their permission to be added to the list. At each signup PageProposer collects the IP address of the new member's computer and signup time. This is only used to identify malicious people that sign up with someone else's email address.

Information Use

PROFILE

We store information that we collect through log files, and via the information provided during the PageProposer Submit service, to create a profile of our users. A profile is stored information that we keep on individual users that details their characteristics. Consequently, collected information is tied to the users personally identifiable information to provide offers and improve the user experience. We DO NOT share your profile with other third parties.

Data Collection

The following data is collected and stored in our database when you use an Add Me service: email, name, address, phone, site url, site name and description. If you elect to save your site submission information, that data is also stored in our database. This data is only collected for the personalized used of these services.

LOG FILES

Like most standard Web site servers we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track user’s movement in the aggregate, and gather broad demographic information for aggregate use. IP addresses, etc. are not linked to personally identifiable information.

Communications from the Site

SPECIAL OFFERS AND UPDATES

Established members will occasionally receive information on products, services, or special deals. Out of respect for the privacy of our users we present the option to not receive these types of communications. Please see the Choice and Opt-out sections.

SERVICE ANNOUNCEMENTS

On rare occasions it is necessary to send out a strictly service related announcement. For instance, if our service is temporarily suspended for maintenance we might send users an email. Generally, users may not opt-out of these communications - these communications are not promotional in nature.

CUSTOMER SERVICE

We communicate with users on a regular basis to provide requested services and in regards to issues relating to their account we reply via email or phone, in accordance with the user’s wishes

Sharing

LEGAL DISCLAIMER

Though we make every effort to preserve user privacy, we may need to disclose personal information when required by law wherein we have a good-faith belief that such action is necessary to comply with a current judicial proceeding, a court order or legal process served on our Web site.

AGGREGATE INFORMATION (non-personally identifiable)

We share aggregated demographic information with our partners and advertisers. This information includes: page views, unique visitors, browsers, and additional broad demographical data. This is not linked to any personally identifiable information.

THIRD PARTY ADVERTISERS

PageProposer shares Web site usage information about users with reputable third party advertisers for the purpose of targeting our advertisements. Be advised that tough we make every effort to accept only reputable advertisers, that we cannot held responsible for the Privacy Policies of any advertiser, promotional link, sponsor, or other third party. Please make sure to check the individual Privacy Policy of any third party site that you visit.

Instances in which PageProposer Will Share Users' Personal Information

THIRD PARTY INTERMEDIARIES

We use an outside credit card processing company to bill users for services. These companies do not retain, share, store or use personally identifiable information for any secondary purposes.

BUSINESS TRANSITIONS

In the event PageProposer goes through a business transition, such as a merger, being acquired by another company, or selling a portion of its assets, users’ personal information will, in most instances, be part of the assets transferred. Users will be notified via prominent notice on our Web site for 30 days prior to a change of ownership or control of their personal information. If as a result of the business transition, the users’ personally identifiable information will be used in a manner different from that stated at the time of collection they will be given choice consistent with our notification of changes section.

Opt-Out

If, at any time, you whish to be removed from the PageProposer Newsletter, you can follow the removal instructions included in each published issue.

This Web site contains links to other sites. Please be aware that we, PageProposer, are not responsible for the privacy practices of such other sites. We encourage our users to be aware when they leave our site and to read the privacy statements of each and every Web site that collects personally identifiable information. This privacy statement applies solely to information collected by this Web site.

Notice of Change

If we decide to change our privacy policy, we will post those changes to this privacy statement, the homepage, and other places we deem appropriate so our users are always aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. We will use information in accordance with the privacy policy under which the information was collected.

No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

General Practices Regarding Use

You acknowledge that PageProposer may establish general practices and limits concerning use of the Service. You agree that PageProposer has no responsibility or liability for the deletion or failure to store any messages and other communications or other Sites maintained or transmitted by the Service. You acknowledge that PageProposer reserves the right to deactivate accounts that violate our TOS, or violate our Submission Policies. You further acknowledge that PageProposer reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Modifications to Service

PageProposer reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that PageProposer shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Termination

You agree that PageProposer, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Site within the Service, for any reason, including, without limitation, if PageProposer believes that you have violated the TOS. PageProposer may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that PageProposer may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that PageProposer shall not be liable to you or any third-party for any termination of your access to the Service.

Advertisers

Your dealings with advertisers found on or through the Service are solely between you and such advertiser. You agree that PageProposer shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

Links

The Service provides links to other World Wide Web sites or sources. Because PageProposer has no control over such sites and resources, you acknowledge and agree that PageProposer is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that PageProposer shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

PageProposer Proprietary Rights

You acknowledge and agree that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by PageProposer or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service, in whole or in part.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

  • YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. PAGEPROPOSER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
  • PAGEPROPOSER MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
  • NO INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PAGEPROPOSER OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT PAGEPROPOSER SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE.

Exclusions and Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Notices to you may be made via either email or regular mail. The Service may also provide notices of changes to the TOS or other matters by displaying notices or links to you on the Service.ű

PageProposer respects the intellectual property of others, and we expect our users to do the same. If you believe that your work has been infringed or your intellectual property rights have been otherwise violated, please provide Pageproposer the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright;
  • a description of the infringed copyrighted work;
  • a description of where the infringing material is located on the site;
  • your address, email address, and telephone number;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

The Terms of Service constitute the entire agreement between you and PageProposer, superceding any other agreements between you and PageProposer. The TOS and the relationship between you and PageProposer shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. You and BOTW agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Miami-Dade , Florida. The failure of PageProposer to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
